Terms of Service and Conditions for Membership Plans Subscription

Acceptance of Terms

IMPORTANT

READ CAREFULLY: BY SUBSCRIBING TO The Lawyers Global^® MEMBERSHIP PLANS, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND CONDITIONS.

Your use of the website (collectively referred to as the “Service”) is subject to these Terms of Service and Conditions and The Lawyers Global^®’s Privacy Policy (collectively referred to as the “Terms of Service” or “Agreement”). These Terms of Service are a legal agreement between You and TLGO - RANKING SERVICES, LDA. (collectively referred to as "The Lawyers Global^®"). The Lawyers Global^® is a Registered Brand – I.N.P.I. Portugal No. 637494, property of TLGO - RANKING SERVICES, LDA. – C.R.C. Lisboa No. 515871117.

The Lawyers Global^® (collectively referred to as “The Lawyers Global^®”) refers to us as the Service Provider. The Client (collectively referred to as “You”) refers to the applicant who subscribes to the Service or, if the Service is being used on behalf of a Law Firm by an individual authorized to agree to such terms on behalf of such entity, then “You” refers to such entity. If You are accessing the Service on behalf of Your employer, you represent and warrant that You have the authority to agree to these Terms of Service on its behalf as the Applicant. If You do not agree with the terms of this Agreement, do not subscribe to the Service. The Lawyers Global^® reserves the right to update and change the Agreement from time to time without notice or acceptance by You. The Agreement will also apply to the use of the Service in case of an agreed trial or free basis. By using the Service, You signify Your irrevocable acceptance of this Agreement. Copyright laws protect the website and any downloadable software or assets associated with the Service, international copyright treaties, and other intellectual property laws and treaties.

EU/EEA Data Processing

To the extent that The Lawyers Global^® processes any Personal Data as part of Customer Data that is subject to the General Data Protection Regulation (the “GDPR”), California Consumer Protection Act (CCPA), in the provision of the services hereunder, the terms of the TLGO - RANKING SERVICES, LDA. Data Processing shall apply as defined in The Lawyers Global^® Privacy Policy.

For The Lawyers Global^® Users and Clients that are located in the European Union or the European Economic Area, the Standard Contractual Clauses adopted by the European Commission, attached to the Data Processing Agreement with TLGO - RANKING SERVICES, LDA., which provide adequate safeguards concerning the Personal Data processed by The Lawyers Global under this Agreement and according to the provisions of our Data Processing Agreement apply.

Description of Service

The Service includes and is limited to the website that allows You access to and uses The Lawyers Global® Membership Plan Account Features. The Service may contain information, data, text, photographs, images, documents, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Service (collectively referred to as, “Membership Plan Account Content”). Subject to these Terms of Service, The Lawyers Global^® grants to You and each user of the Service a worldwide, non-exclusive, non-sublicensable, and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Service. Use, reproduction, modification, distribution, or storage of any Content for purposes other than those for using the Service is expressly prohibited without prior written consent from The Lawyers Global^® and the copyright owners. You shall not sell, license, rent, or otherwise use or exploit any Content for commercial use or in any way that violates any third party’s right. For these Terms of Service and Conditions, “Content” includes all User Content (as defined below).

A “The Lawyers Global^® Membership Plan Account Features” or “Account Features” referred to herein means a service provided by The Lawyers Global^®, where You may use The Lawyers Global^® to create, update, and share your Law Firm profile and promote your Law Firm or other materials (“Membership Plan Account Content”).

Unless explicitly stated otherwise, any new features that expand or enhance the current contracted Service, including the release of new tools, features, and resources, shall be subject to the Agreement. To use the Service, You must obtain access to the World Wide Web directly or through devices that access web-based content and pay any associated service fees. In addition, You must provide all equipment necessary to make such a connection to the World Wide Web, including a computer and modem or another access device. You also understand and agree that the service may include certain communications from The Lawyers Global^®, such as service announcements, administrative, security, or account-related messages, etc., and that these communications are considered part of the Service, and You will not be able to opt-out of receiving them. You agree not to access the Service by any means other than through the interfaces that are provided by The Lawyers Global^® for use in accessing the Service. The Lawyers Global^® will provide the Service following this Agreement. The Lawyers Global^® may, at its sole discretion, modify the Service's features from time to time without prior notice.

Membership Eligibility

The Lawyers Global^® Membership Plans are reserved exclusively for Law Firms. LAW FIRM means a business entity formed by one or more lawyers to engage in the practice of law and own a website with a publicly accessible domain.

The Lawyers Global reserves the right not to consider eligible subscriptions submitted where the "Law Firm Website address" field does not contain a valid domain defined above. IMPORTANT NOTICE: Social media pages, directory listings, or any other URL not complying with the above described will not be eligible.

Lawyers Global® may consider the eligibility of Legal Service Providers (LPOs) as long as they prove that they have incorporated one or more offices meeting the “Law Firm” defined concept. The Lawyers Global^® reserves the right not to consider eligible for any LPO Membership Plan subscription that does not fulfill the precondition of being considered a Law Firm per se.

Registration

To use the Service, You must have a valid user account. To obtain an Account for the Service, You must provide The Lawyers Global^® with an electronic mail address and other information (“Registration Data”) during the Sign Up process. You are responsible for maintaining the confidentiality of the access data for Your Account and are fully responsible for all activities that occur under Your Account. You agree to:

1. immediately notify The Lawyers Global^® of any unauthorized use of Your Account or any other security breach, and
2. ensure that You exit from Your Account at the end of each session. The Lawyers Global^® cannot and will not be liable for any loss or damage arising from Your failure to comply with this section.

In consideration of the use of the Service, You agree to:

1. provide true, accurate, current, and complete information about Yourself as prompted by the Service’s registration form, and;
2. maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.

The Lawyers Global^® assumes no duty to verify such information as further detailed in the CONTENT OF THE SERVICE section of these Terms of Service and Conditions. If You provide any information that is false, inaccurate, not current, or incomplete, or The Lawyers Global^® has reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete, The Lawyers Global^® has the right to suspend or terminate Your Account and refuse all current or future use of the Service (or any portion thereof). By using the Service (and registering an Account on the Service), You represent and warrant that You are at least 18 years of age. No one under 18 years old may use and subscribe to the Service. The Lawyers Global^® may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these Terms of Service and Conditions comply with all laws, rules, and regulations applicable to You, and the right to access the Service is revoked where these Terms of Service and Conditions or use of the Service is prohibited or to the extent offering, sale or provision of the Service conflicts with any applicable law, rule or regulation.

Billing & Payment Terms

Additional features may be added to the Service and made available as a paid upgrade (“Membership Plan Upgrade”). When You subscribe to a Membership Plan, You shall pay fees (described below) to The Lawyers Global^®. Upon selecting a Plan, You will provide The Lawyers Global with the necessary billing information (“Billing Information”) and preferred payment method or mechanism.

The Lawyers Global accepted payment methods/mechanisms are PayPal^™ secure transactions with PayPal^™ funds, Debit or Credit Card payments via PayPal^™ or Bank Wire Transfer payments depending on the Membership Plan subscribed. The Lawyers Global^® will accept payments for annual or biennial subscription fees (“Subscription Fee”). All currency references are in Euros (€). Plans are paid according to the respective plan billing cycle – annual or biennial Subscription Fee, plus additional optional features, transaction fees, and Taxes when and if applicable to your country or region.

After you select the Plan, You must provide current, complete, and accurate Billing Information. You must promptly update all Billing Information to keep Your Account current, complete, and accurate (such as a change in billing address or PayPal^™ account, and You must promptly notify The Lawyers Global^® if Your Payment Method is changed or if You become aware of a potential breach of security, such as the unauthorized disclosure or use of Your name or password. If You fail to provide any of the foregoing information, You agree that The Lawyers Global^® may continue charging You for any use of the subscribed Membership Plan under your Billing Information unless You have terminated Your subscribed Membership Plan as set forth herein.

You agree that The Lawyers Global^® may charge Your firm for all amounts due and owing for Your Account upon cancellation (see “Termination, Breach, Suspension and Cancellation” and “Refund”). The Lawyers Global^® will contact You via electronic mail to alert You upon each charge. The Lawyers Global^® may change prices at any time without prior notice but will endeavor to provide reasonable advance notice via The Lawyers Global^® website and/or electronic mail.

You agree that in the event The Lawyers Global^® is unable to collect the fees owed to The Lawyers Global^® for Your Account through Your Subscription within 5 (five) business days for PayPal^™ and SEPA Bank Wire Transfers payments, or 10 (ten) business days for non-SEPA Bank Wire Transfers, The Lawyers Global^® may take any other steps it deems necessary to collect such fees from You and that You will be responsible for all costs and expenses incurred by The Lawyers Global^® in connection with such collection activity, including collection fees, court costs, and attorneys’ fees.

The Lawyers Global^® reserves the right that you herein accept, that Your law firm will be Suspended, the listing kept publicly available stating the reason for the suspension. Ultimately, The Lawyers Global^® reserves the right to publish the following public statement on your listing – "Law Firm No Longer Advised by The Lawyers Global^®." until we are able to successfully collect the due amounts.

The Lawyers Global^® will offer you the option to avoid any legal actions to redeem the due amounts by paying the Cancelation & Removal Fee of €75.00 (Seventy-five euros) plus transaction fees, which will cancel your order, previous unpaid invoice and remove your law firm from all The Lawyers Global^® listings.

If the subscribed Membership plan includes Digital Badges, Digitally-Signed Certificates, or other tangible goods, they will only be sent to you after your payment is received and confirmed by The Lawyers Global.

As long as Your Account remains active and in good standing, You will be charged the Subscription Fee even if You never use the subscribed service in full. You may, however, request the cancelation of Your Membership Plan subscription 2 (two) months before the next billing cycle.

Subscription Fees are independent of any applicable taxes, levies, duties, or other similar exaction imposed by a legal, governmental, or regulatory authority in any applicable jurisdiction, including, without limitation, sales, use, value-added taxes, consumption, communications, or withholding taxes (collectively referred to as, “Taxes”). You will pay all taxes associated with this Agreement, excluding any taxes based on our net income.

Membership Renewals, Upgrades, and Downgrades

Membership Plans may be Downgraded upon written request sent via electronic mail. A Plan Downgrade will not be followed by any type of pecuniary compensation regarding the subscribed Plan paid price. A Membership Plan Downgrade may be requested by The Lawyers Global by electronic mail when You, for any reason, may consider suitable to Your law firm, without any liability attributed to The Lawyers Global.

Membership Plans may be Upgraded to any of the available upper-level Plans. A Membership Plan Upgrade can be completed online by placing the order for the new Plan. The applicable price will be calculated on a prorated daily basis value, excluding Taxes and Transaction Fees applicable to the Membership Plan Upgrade.

Your Membership Plan can be conveniently renewed at the start of each membership cycle. You will automatically be charged for the next membership period at the beginning of the following membership cycle to guarantee uninterrupted access to benefits, services, and subscriptions. The Membership Plan renewal price is defined when You subscribe to the Service. An email reminder will be sent 15 (fifteen) days before your membership end date so that you’ll know exactly when your payment is due. This message will contain any reminders or action(s) required on your behalf and the invoice for the Membership Plan renewal.

If You do not wish to renew Your Membership Plan, You must inform The Lawyers Global^® about your decision before the beginning of the next billing cycle, at least 5 (five) business in advance.

IMPORTANT NOTICE: If we do not receive your intent not to renew, we will automatically renew your membership for one more billing cycle and send you your invoice via WeTransfer, the payment request via PayPal, or the information for the bank wire transfer, depending on what was chosen in the previous order.

Membership Plan Features

Each of The Lawyers Global^® Membership Plans has specific default features. You must be aware of the available features for Your selected Membership Plan when You subscribe. One or more features of Your Membership Plan may be canceled or suspended by The Lawyers Global^®l in case of any contractual infringements of this Terms of Service and Conditions.
Membership Plans with Optional features require You to communicate via electronic mail to The Lawyers Global^® the request for their activation or deactivation.

Code of Conduct

Some Membership Plans have features or functionalities that allow users to interact with the system and with your law firm listing – for instance, the Reviews & Testimonials, direct Email Contact Form, and Likes. These features are intended to be used by our visitors and your clients, not by You. The Lawyers Global^® reserves the right to cancel any interactions considered as misuse, abuse, or violation of the terms that forbid firm managers to Rate, post Reviews, or Testimonials on their firms.

You shall not perform any actions that intentionally aim to increase your law firm hits to falsify the views count of your firm profile. If our system triggers the linked alert, you will first be notified via electronic mail. The Lawyers Global^® reserves the right to discontinue Your Service in case of recurrence of these events or violation of the Code of Conduct.

In Your Membership Plan Account Content, it is strictly forbidden to directly reference any other accolades, awards, rankings, and the issuer entity name. It is allowed to state, for instance, "The firm was the Award winner in Asia in 2020", "Award Winning Firm," or "Awarded by many of the most prestigious rankings companies," without mentioning the entity name.

In any part of your Membership Plan Account Content, you must not use the words "we," "us," or "our" to avoid misleading users and your prospective clients, who may relate your Membership Plan Account Content as referring to The Lawyers Global^®, and not to your firm. It is extremely important to follow these rules to your benefit. Instead, use as examples "the firm was established (...)", "Law Firm LLP is a full-service law firm (...)", "the firm's lawyers (...)", "the firm's locations (...)", etc.

Security, Reports, and User Interactions

Through your Account management area, you can report to The Lawyers Global^® any infringements, spam, scams, or other issues arising from any users’ interaction with your Membership Plan Account and Membership Plan Account Content that you may consider harmful to You or Your business. The Lawyers Global^® will take any suitable actions after Your report. The Lawyers Global^® is not liable for any misbehavior or misconduct from its users but will provide You with the right tools to report and be informed of any actions taken by The Lawyers Global^® concerning your reports.

Termination, Breach, Suspension, and Cancellation

If Your Subscription Fee payment is overdue, The Lawyers Global^® will disable Your access to the features provided by your subscribed Membership Plan and suspend your law firm from all listings, including any Awards program already taking place. The Lawyers Global^® may, at its sole discretion, at any time and for any reason, terminate the Service, terminate this Agreement, suspend, or terminate your Account. In the event of suspension or termination, Your account will be disabled, and You may not be granted access to Your Account or any files or other Content (including Your Membership Plan Account Content) contained in Your Account, and The Lawyers Global^® may delete Your User or Law Firm Content, although residual copies of information may remain in our system for some time for back-up purposes, and legal obligations. In the event of termination, The Lawyers Global^® may also withdraw and, at its discretion, reallocate your account's public web address.

If You terminate Your Account via means provided for cancellation on The Lawyers Global^® website or via electronic mail to The Lawyers Global^®, and You request that The Lawyers Global^® delete Your User or Law Firm Content and files contained in Your Account, The Lawyers Global^® will make all reasonable efforts to do so, following the Privacy Policy regulatory laws abide by The Lawyers Global^®.

Refunds

The Lawyers Global^® provides means for Account and subscription Plan cancellation requested via electronic mail. If You cancel Your Account within 15 calendar days of the date of sign-up and You request a refund, The Lawyers Global^® will refund eighty percent (80%) of the total payments You have made to The Lawyers Global^® within the 15 calendar days before the cancellation and refund request, excluding transaction fees and taxes when applicable.

Injunctive Relief

You acknowledge that any use of the Service contrary to this Agreement or any transfer, sublicensing, copying, or disclosure of technical information or materials related to the Service may cause irreparable damage to The Lawyers Global^®, its affiliates, suppliers, and any other party authorized by The Lawyers Global^® to resell, distribute, or promote the Service (“Resellers”), and under such circumstances The Lawyers Global^®, its affiliates, suppliers and Resellers will be entitled to equitable relief, without posting a bond or other security, including, but not limited to, preliminary and permanent injunctive relief.

Proper Use

The Lawyers Global^® does not claim ownership over any Membership Plan Account Content submitted on or through the Service. Your Membership Plan Account Content belongs to You. However, by uploading any Membership Plan Account Content to the Service, You agree that The Lawyers Global^® may store and display Your Membership Plan Account Content solely as necessary in connection with the Service, and based on The Lawyers Global^® Terms of Service, which may restrict access to Your Membership Plan Account Content to Registered users. To the extent You choose to share any of Your Membership Plan Account Content with other users of the Service, You agree to allow all users to view Your Membership Plan Account Content and, to the extent applicable, collaborate with You and Your Membership Plan Account Content.

You understand that all Membership Plan Account Content is the sole responsibility of the person from which such Membership Plan Account Content originated. This means that You, not The Lawyers Global^®, are entirely responsible for all Membership Plan Account Content that You upload, post, transmit, or otherwise make available via Your Account. The Lawyers Global^® does not control the Membership Plan Account Content posted via the Service and, as such, does not guarantee the accuracy, integrity, or quality of such Membership Plan Account Content.

You understand that by using the Service, You may be exposed to Membership Plan Account Content that is offensive, indecent, or objectionable. Under no circumstances will The Lawyers Global^® be liable in any way for any Membership Plan Account Content, including, but not limited to, for any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available via the Service. You acknowledge that The Lawyers Global^® does not pre-screen Membership Plan Account Content but that The Lawyers Global^® and its designees shall have the right (but not the obligation) in their sole discretion to refuse, modify, or move any Content that is available via the Service. Without limiting the foregoing, The Lawyers Global^® and its designees shall have the right to remove any Membership Plan Account Content that violates the Agreement or is otherwise objectionable. You agree that You must evaluate and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, You acknowledge that You may not reasonably rely on any Content created by The Lawyers Global^® or submitted to The Lawyers Global^®. You acknowledge and agree that The Lawyers Global may preserve Membership Plan Account Content and may also disclose Membership Plan Account Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

1. comply with legal process;
2. enforce the Agreement;
3. respond to claims that any Content violates the rights of third parties or;
4. protect the rights, property, or personal safety of The Lawyers Global^®, its users, and the public.

If The Lawyers Global^® discloses Membership Plan Account Content to comply with legal process or respond to claims that any Membership Plan Account Content violates the rights of third parties, to the extent permitted by law, regulation, or legal process, The Lawyers Global^® agrees to provide You with prompt notice of any such legal or governmental demand and reasonably cooperate with You in any effort to seek a protective order or otherwise to contest such required disclosure.

You understand that the technical processing and transmission of the Service, including Your Membership Plan Account Content, may involve (a) transmissions over various networks and (b) changes to conform and adapt to the technical requirements of connecting networks or devices.

Should Membership Plan Account Content be found or reported to be in violation with, but not limited to, the following terms, it will be in The Lawyers Global^®’s sole discretion as to what action should be taken. You agree that You will not upload, post, transmit, or otherwise make available any Membership Plan Account Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy (up to, but not excluding any address, email, phone number, or any other contact information without the written consent of the owner of such information), hateful, or racially, ethnically or otherwise objectionable; harm minors in any way;

1. impersonate any person or entity, including, but not limited to, a The Lawyers Global official, department leader, guide or host, or falsely state or otherwise misrepresent Your affiliation with a person or entity;
2. forge headers or otherwise manipulate identifiers to disguise the origin of any Membership Plan Account Content transmitted through the Service;
3. upload, post, or otherwise transmit any Membership Plan Account Content that You do not have a right to transmit under any law or contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships, or under nondisclosure agreements);
4. upload, post, or otherwise transmit any Membership Plan Account Content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary rights of any party;
5. upload, post, or transmit unsolicited commercial emails or “spam.” This includes unethical marketing, advertising, or any other practice that is in any way connected with “spam,” including but not limited to (a) sending a mass email to recipients who haven’t requested an email from You or with a fake return address, (b) promoting a site with inappropriate links, titles, descriptions, or (c) promoting Your site by posting multiple submissions in public forums that are identical;
6. upload, post, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware, or telecommunications equipment;
7. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;
8. intentionally or unintentionally violate any applicable local, state, national, or international law and any regulations having the force of law;
9. “stalk” or otherwise harass another;
10. promote or provide instructional information about illegal activities.
11. offer for sale or sell any item, goods, or service that (i) violates any applicable federal, state, or local law or regulation, (ii) You do not have full power and authority under all relevant laws and regulations to offer and sell, including all necessary licenses and authorizations, or (iii) The Lawyers Global^® determines, in its sole discretion, is inappropriate for sale through the Service provided by The Lawyers Global^®;
12. use the Account website as a redirecting/forwarding service to another website other than Your legally owned websites;
13. exceed the scope of the Service that You have signed up for; for example, accessing and using the tools that You do not have a right to use, having humans share User logins, or deleting, adding to, or otherwise changing other people’s comments or Membership Plan Account Content as an Account holder. If any user is reported to violate the letter or spirit of these terms, The Lawyers Global^® retains the right to terminate such account at any time without further warning.

General Practices Concerning Use

You agree that The Lawyers Global^® has no responsibility or liability for the deletion of, or the failure to store or to transmit, any Membership Plan Account Content and other communications maintained by the Service. You acknowledge that The Lawyers Global^® may establish general practices and limits concerning the use of the Service and may modify such practices and limits from time to time. The Lawyers Global^® retains the right to create limits on use at our sole discretion at any time, with or without notice. You acknowledge that The Lawyers Global^® reserves the right to log off inactive users for an extended period as a security measure to protect the user’s accounts.

You agree that You will not:

1. upload, post, email, or otherwise transmit any computer routines, files, or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware, or telecommunications equipment;
2. interfere with or disrupt our Service or networks connected to The Lawyers Global^® websites or through the use of our Service, or disobey any requirements, procedures, policies, or regulations of networks connected to our website or through the use of our Service, or otherwise interfere with our Service in any way, including through the use of JavaScript, ActiveX or another coding;
3. take any action that imposes an unreasonable or disproportionately large load on our infrastructure or;
4. Copy, reproduce, alter, modify, or publicly display any information displayed on the Service (except for Your Membership Plan Account Content), or create derivative works from The Lawyers Global^® website (other than from Your Membership Plan Account Content) to the extent that such action(s) would constitute copyright infringement or otherwise violate the intellectual property rights of The Lawyers Global^® or any other third party, except with the prior written consent of The Lawyers Global^® or the appropriate third party.

Content of The Service

The Lawyers Global takes no responsibility for any third-party Content or Membership Plan Account Content (including, without limitation, any viruses or other disabling features), nor does The Lawyers Global^® have any obligation to monitor such third-party Membership Plan Account Content. The Lawyers Global^® reserves the right to remove or refuse to distribute any Content on the Service, such as Content that violates these Terms of Service and Conditions. The Lawyers Global^® also reserves the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to (a) satisfy any applicable law, regulation, legal process, or governmental request, (b) enforce these Terms of Service and Conditions, including investigation of potential violations hereof, (c) detect, prevent, or otherwise address fraud, security or technical issues, (d) respond to user support requests, or (e) protect the rights, property or safety of The Lawyers Global^®, its clients, users, and the public in general. The Lawyers Global^® will not be responsible or liable for the exercise or non-exercise of its rights under this Agreement.

If The Lawyers Global^® discloses such information to satisfy any applicable law, regulation, legal process, or governmental request or to respond to the user or clients’ support requests, to the extent permitted by law, regulation, or legal process, The Lawyers Global^® agrees to provide You with prompt notice of any such demand and reasonably cooperate with You in any effort to seek a protective order or otherwise to contest such required disclosure.

International Use

You understand and agree that the Service is provided “as is,” and The Lawyers Global^®, its affiliates, suppliers, and Resellers expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement or bailment of your data on The Lawyers Global^® servers. The Lawyers Global^®, its affiliates, suppliers, and Resellers make no warranty or representation regarding the results that may be obtained from the use of the Service, the security of the Service, or that the Service will meet any user’s requirements. You will be solely responsible for any damage to You resulting from using the Service. The entire risk arising out of the use, security, or performance of the Service remains with You. No oral or written information or advice given by The Lawyers Global^® or its authorized representatives shall create a warranty or increase the scope of The Lawyers Global^®’s obligations. Without limiting the generality of the foregoing, The Lawyers Global^®, its affiliates, suppliers, and Resellers expressly disclaim any express or implied warranty of fitness for such purposes.

Indemnity

You agree to indemnify, defend, and hold harmless The Lawyers Global^®, its affiliates, officers, directors, employees, consultants, agents, suppliers, and Resellers from any and all third-party claims, liability, damages, and/or costs (including but not limited to, attorneys fees as and when incurred) arising from Your use of the Service, Your use of Your Account, Your violation of these Terms of Service and Condition or the infringement or violation by You or any other User of Your Account, of any intellectual property relating to the Service (including without limitation Membership Plan Account Content) or other rights of any person or entity.

Changes to Service

The Lawyers Global^® reserves the right at any time and from time to time to adjust, modify, enhance, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that The Lawyers Global^® shall not be liable to You or any third party for any modification, suspension, termination, or discontinuance of the Service.

Limitation of Liability

In no circumstance will The Lawyers Global^® or its affiliates, suppliers, or Resellers be liable for any special, incidental, indirect, exemplary, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss or damage) arising out of the use of or inability to use the Service, or the provision of or failure to provide technical or other support services, whether arising in tort (including negligence) contract or any other legal theory, even if The Lawyers Global^®, its affiliates, suppliers or Resellers have been advised of the possibility of such damages. In any case, The Lawyers Global’s, its affiliates’, suppliers’, and Resellers’ maximum cumulative liability and Your exclusive remedy for any claims arising out of or related to this Agreement will be limited to the amount paid by You for the Service (if any) in the previous twelve (12) months.

Disclaimer and Severability

Failure by either party to exercise any of its rights under, or to enforce any provision of, this Agreement will not be deemed a waiver or forfeiture of such rights or ability to enforce such provision. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision will be amended to achieve as nearly as possible the same economic effect of the original provision, and the remainder of this Agreement will remain in full force and effect.

Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising from or related to the use of The Lawyers Global^® services or the Terms of Service and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Governing Jurisdiction

This Agreement shall be governed by and construed under the laws of the Portuguese Republic as applied to agreements entered into and performed in Lisbon. This Legal Notice shall be governed by and construed following Portuguese law. Any dispute(s) arising in connection with this Legal Notice is subject to Portugal’s exclusive jurisdiction.

Entire Agreement/General Provisions

This Agreement embodies the entire understanding and agreement between the parties respecting the subject matter of this Agreement and supersedes any and all prior understandings and agreements between the parties respecting such subject matter. The Lawyers Global^® may change the terms of this Agreement at any time by posting modified terms on its website. This Agreement has been prepared in English, and such version shall be controlled in all respects. Any non-English version of this Agreement is solely for accommodation purposes. All rights and remedies of The Lawyers Global^® upon Your breach or other default under this Agreement will be deemed cumulative and not exclusive of any other right or remedy conferred by this Agreement or by law or equity on The Lawyers Global^®, and the exercise of any one remedy will not preclude the exercise of any other. The captions and headings appearing in this Agreement are for reference only and will not be considered in construing this Agreement. Notices to You may be made via either email or regular mail. The Service may also provide notices of changes to the Agreement or other matters by displaying notices or links to notices to You generally on the Service.
